Draft for legal reviewLast updated: 11 October 2026

Prompt AI Limited

Website, enquiries & waitlists.

Paid services have separate agreements.

Nigeria

The short version

Use our website responsibly, respect others' rights and treat AI outputs as something to review, not a substitute for judgment. An enquiry or waitlist entry is not a paid contract. Your signed project or product agreement governs the work we do together.

Draft wording for business and legal confirmation; not yet adopted. This summary does not replace the full terms below.

01. Acceptance and scope

These draft Terms & Conditions describe the proposed rules for using the public website of Prompt AI Limited ("Prompt AI", "we", "us" or "our"), making enquiries and joining our waitlists. They are published for review and are not yet adopted. Once adopted, the final terms will apply to website use from their stated effective date. If you do not agree with the adopted terms, you should not use the website.

These terms do not, by themselves, create a paid engagement or a licence to a hosted product. A separately signed agreement governs each client engagement, including its scope, fees, delivery, intellectual property, support and data processing. Where that agreement conflicts with these website terms on the same subject, that agreement takes priority for the engagement.

02. Eligibility and authority

You must have legal capacity to enter into any agreement you make with us. If you contact us or act for a business, institution or another person, you confirm that you have the necessary authority and will provide accurate information about your role and organisation.

A child or learner who cannot independently agree to a service's terms must use that service through the appropriate parent, guardian or institution arrangement. Scholaris and training programmes may have their own age, enrolment and consent requirements; these website terms do not replace them.

03. Our services and product terms

Prompt AI's work includes AI and machine learning, automation, data analytics, custom web and mobile software, SaaS products, IT and cloud infrastructure, education technology and training. Website descriptions explain our capabilities, not a commitment to supply a particular feature, outcome or level of support.

Scholaris, Prompt AI Academy and other products or programmes may require separate terms, privacy notices, subscription conditions or enrolment agreements. A waitlist entry expresses interest only: it does not guarantee access, a launch date, a place on a course or a particular price. We will explain applicable conditions before you enter a paid or product-specific arrangement.

04. Acceptable use

Use the website lawfully, honestly and without interfering with others' access. You must not:

Misuse systems or information

Attempt unauthorised access, introduce malicious code, bypass security controls, disrupt systems or extract information in a way that breaches law or others' rights.

Submit harmful or unauthorised material

Send unlawful, abusive, misleading or infringing content; impersonate someone; or share personal, confidential or proprietary material that you are not authorised to disclose.

Misrepresent our work

Use the website, our name or our content to suggest an endorsement, partnership or professional approval that we have not given.

05. Enquiries, engagements and payment

An enquiry, introductory call, proposal or estimate is not a binding commitment to deliver services unless the parties expressly agree otherwise in writing. You should describe your requirements accurately and avoid including sensitive records, passwords or production data in an initial enquiry.

Paid projects begin under an agreed written contract. That contract sets deliverables, milestones, acceptance criteria, responsibilities, fees, taxes, invoicing, payment dates and any refund or cancellation rights. Website statements do not create extra payment obligations or alter an existing contract. Any change in scope or charges must follow the process in the relevant agreement.

06. Intellectual property and materials

The website's branding, text, designs, graphics and other content belong to Prompt AI or their respective licensors. You may view and use the public website for its intended informational purpose. Except where law permits, do not reproduce, redistribute or commercially exploit its content without the relevant owner's permission.

You retain your rights in materials you supply. You must have the permissions needed for us to receive and use them for the purpose you request. Sending an enquiry does not transfer ownership to us. Ownership, licensing and permitted use of client materials, code, models, datasets and project deliverables must be set out in the signed engagement agreement; no project IP transfer is implied by these terms.

07. Responsible use of AI

AI outputs can be inaccurate, incomplete, biased or unsuitable for a particular context. Where a service uses AI, users and clients should apply meaningful human review, verify important outputs and consider privacy, intellectual property, fairness and safety before acting on or publishing them.

Website content and illustrative AI outputs are not medical, legal, financial or other regulated professional advice. Do not rely on them as the sole basis for decisions affecting a person's health, rights, education, finances or safety. Obtain qualified advice where appropriate. Service-specific responsibilities, permitted uses and review requirements should be agreed separately.

08. Third-party services and links

The website or a particular service may link to, or depend on, third-party websites, software, cloud infrastructure or AI services. Those providers may have their own terms and privacy notices. A link is not an endorsement, and we do not control third-party content or availability.

Where a client solution requires third-party licences or accounts, the engagement agreement should identify responsibility for selection, costs, permissions and ongoing use. These website terms do not override that allocation or any rights you have under applicable law.

09. Confidentiality and privacy

Our Privacy Policy explains the proposed treatment of personal information collected through website interactions, enquiries and relevant services. Additional notices and data-processing terms may apply to a product or client project.

A public enquiry form or unsolicited message is not a substitute for a confidentiality agreement. Share only what is necessary to explain your request. Where confidential information or client data is needed, the parties should agree the appropriate confidentiality, access and data-processing arrangements before it is shared. Neither these terms nor an enquiry authorises us to use client data outside those agreed arrangements.

10. Website information and availability

We aim to present useful information, but public website content is general and may change. To the extent permitted by law, we do not warrant that it is complete, current or error-free, or that the website will always be available, secure or uninterrupted. Check important details with us before making a commitment.

Examples, illustrations and descriptions of possible benefits do not guarantee a specific commercial, learning or technical result. Any warranties, service levels or performance commitments for paid services are those expressly agreed in the relevant contract.

11. Liability and your legal rights

To the extent permitted by applicable law, Prompt AI is not liable for indirect or consequential loss, loss of profit or business opportunity arising from use of the public website or reliance on general website information. You remain responsible for the legality of your submissions and for decisions you make using that information.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, or removes mandatory consumer, data-protection or other statutory rights. Responsibility and any limits of liability for a paid engagement are governed by its separate contract, subject to applicable law. These website terms do not reduce rights granted under that contract.

12. Suspension and termination

We may restrict website access or stop handling abusive or unlawful submissions where reasonably necessary to protect people, systems or legal interests. Where appropriate and practicable, we will explain the restriction. You may stop using the public website at any time.

Ending website access does not automatically terminate a client contract or product subscription. Suspension, cancellation, termination, outstanding payments and return or deletion of data for those arrangements follow their own agreed terms and applicable law.

13. Changes to these terms

Before adoption, this draft may be revised following business and legal review. After adoption, we may update the website terms to reflect changes in our services or legal requirements and will publish the revised version with an updated date. Material changes will be brought to your attention where required by law.

An update to the website terms does not retrospectively change a signed engagement or replace its agreed change-control process. Product-specific changes will follow the notice and acceptance requirements of that product and applicable law.

14. Governing law and disputes

These website terms are intended to be governed by the laws of the Federal Republic of Nigeria. If a concern arises, please contact us first with the relevant details so that we can try to resolve it in good faith. The parties may agree to mediation where appropriate.

If a dispute cannot be resolved informally, it may be brought before a court of competent jurisdiction in Nigeria, subject to any mandatory rights or jurisdiction rules that apply. A separate client or product agreement may specify a different lawful dispute-resolution process for that arrangement. This does not prevent a complaint to a competent regulator.
